This Legal notice governs access to and use of the OMNIDOCTOR website (hereinafter referred to as the “website”). Notwithstanding the above, the use of sites or services contained on the website may be subject to other conditions of use, notification of which will be provided, with the corresponding obligatory conditions.

OMNIDOCTOR reserves the right to expand, modify or replace this Legal Notice at any time, in addition to any other general or specific conditions, on the understanding that with the mere publication of such changes, notification shall be deemed to be effected. Therefore, we ask the User to read it carefully each time he or she accesses the Portal, refraining from using the Web if he or she does not agree with any of the established conditions.

Rights and obligations of the User.

A user is deemed to be any Internet user who accesses the Web, as well as those who have completed the registration process, in accordance with clause 4 of this Legal Notice.

The Web has two different types of users; those who are patients, (hereinafter also as: “Patient”) and also users with the status of Doctor, who access the private part of the Application by identifying themselves with their username and password previously provided by OMNIDOCTOR, and who will be referred to as: “Doctor”. Both types of users shall be called: “Users”, or: “User”.

Access to the Website is the exclusive responsibility of the Users, and implies acceptance and knowledge of the legal disclaimers, conditions and terms of use in force at any given time. For this reason, Users must read this Legal Notice carefully every time they access the Website. The use of any of the services offered, attributes the status of User from the outset and will be considered as express, voluntary and unreserved acceptance of this Legal Notice.

To access the services of the App the User must have registered in accordance with clause 4 of this Legal Notice and be of legal age withsufficientlegal capacity and representation to be able to enter into contracts.

The use of the services offered in the Web implies that the User has agreed to comply with the requirements of such services and the Legal Notice of the Web.

Users accessing the Website agree to comply with this Legal Notice and the specific instructions for use, duly displayed at all times. Likewise, he or she undertakes to act in accordance with the Law, good practice and good faith, using the diligence appropriate to the nature of the service in question. Accordingly, the User may not make any modification or alteration to the contents of the Website, beyond the data that the User has entered, nor may he or she in any way damage its integrity or functionality.

OMNIDOCTOR may remove or suspend access to the Website to Users who fail to comply with any of the obligations set out in this Legal Notice. Users choosing not to comply with any of the aforementioned obligations, shall be liable for any and all resulting damages caused to OMNIDOCTOR.

Terms and conditions of registration.

To access the medical, psychological and psychiatric visits online, you must first register. The registration process starts by clicking on the “Register” box.

You will be asked for a series of personal details and then to complete the registration process, you will need to enter a password. A password is a code that only you will know, which once used in conjunction with your email address, will allow you to log in to the Private Area, reserved for registered users.

The password for the registered user section of the site is personal and non-transferable. OMNIDOCTOR is not responsible for improper access by means of use of the registered user’s password, and the registered user is responsible for the consequences of its use by unauthorized persons. Likewise, the user shall be liable for the improper use and unauthorized access by third parties via the registered user’s password.

OMNIDOCTOR shall not be liable for any damages caused by the improper use of the website and of the part of its website intended for registered users. The user undertakes to immediately and reliably inform OMNIDOCTOR of any loss of password, theft or similar, that may jeopardize the confidentiality of the user’s password. Passwords can only be modified in accordance with the current legal requirements.

Disclaimer of Liability.

OMNIDOCTOR reserves the right to suspend access to the Website, as well as any or all of the Services provided through it, at any time and without prior notice, whether for technical, security, control or maintenance reasons, or due to power failures or for any other reason.

OMNIDOCTOR shall not be liable for decisions taken based on the information provided on the Website, nor for any damages caused to the User as a result of such information.

OMNIDOCTOR shall not be liable for damages of any kind caused to the User as a result of failures in the connection to the telecommunications networks that lead to the suspension, cancellation or interruption of the Website service or due to force majeure or unforeseen circumstances.

Intellectual and Industrial Property. Hyperlinks.

All content, trademarks, designs, logos, icons, software, trade names, domain names and any other signs or elements subject to protection by intellectual or industrial property rights that form part of the Website are the property of OMNIDOCTOR or in the public domain or of third parties who have duly authorized their inclusion in the same, and who appear as authors or rights holders.

Under no circumstances shall it be understood that any license is granted or any waiver, transfer, total or partial assignment of such rights is effected, nor shall any right be conferred, with particular mention to the exploitation, reproduction, distribution, transformation or public communication of such content, without the prior express written authorization of OMNIDOCTOR or the corresponding third parties. Violations of any of the intellectual or industrial property rights referred to in this section shall be prosecuted through the criminal and civil actions stipulated in current legislation.

Users and, in general, those persons who intend to establish a hyperlink between their website and the Website (hereinafter, the “Hyperlink”) must have the express authorization of OMNIDOCTOR and comply with the following conditions:

  • The Hyperlink shall only allow access to the Website’s home page, or to the specific point authorized by OMNIDOCTOR;
  • No frame shall be created on the Website’s web pages;
  • No false, inaccurate or incorrect statements or indications shall be made about OMNIDOCTOR, its managers, persons and its products;
  • It shall not be stated or implied that OMNIDOCTOR has authorized the Hyperlink or that it has supervised or endorsed in any way the services offered or made available on the website where the Hyperlink is established;
  • With the exception of those contained in the Hyperlink itself, the website in which the Hyperlink is placed shall not contain any trademark, commercial name, establishment sign, denomination, logo, slogan or other distinctive signs belonging to OMNIDOCTOR.
  • The website featuring the Hyperlink shall not contain any information or content that is illicit or contrary to generally accepted morality and good practice and public order, nor shall it contain any content that contravenes third party rights.
  • The establishment of a Hyperlink does not imply under any circumstances, the existence of a relationship between OMNIDOCTOR and the owner of the Website in which it is established, nor the acceptance or approval by OMNIDOCTOR of its content or services.

Confidentiality and security are core values at OMNIDOCTOR and consequently, we are committed to guaranteeing the User’s privacy at all times and to refraining from collecting unnecessary information.

Medical Records

Patients’ data will be incorporated into their Medical History, in accordance with article 14 of Law 41/2002, of 14 November, which is the basic law regulating Patient autonomy and rights and obligations in the area of clinical information and documentation. The medical history includes all the documents relating to the healthcare processes of each Patient, with the identification of the doctors and other professionals who have intervened therein, in order to obtain the maximum possible integration of each patient’s medical files, at least within the scope of each centre.

In compliance with the aforementioned law, OMNIDOCTOR shall archive its Patients’medical records of its Patients, irrespective of the paper, audio-visual, computerized or other medium upon which they are recorded, in such a way as to guarantee their security, correct conservation and the recovery of the information.

Medical histories incorporate all information considered to be fundamental for an accurate and up-to-date account of the patient’s state of health. Every Patient or User has the right to have recorded, in writing or by means of the most appropriate technical support, the information obtained in all the care processes carried out by the health service, both in primary care and specialized care areas. The primary purpose of keeping medical records is to facilitate health care, documenting all the information that, under medical criteria, allows for a reliable and up-to-date account of the state of health.

The medical history is an instrument designed primarily to ensure adequate care for the patient. The care professionals at the centre who carry out the diagnosis or treatment of the patient have access to the patient’s medical records as a fundamental resource for ensuring adequate healthcare. OMNIDOCTOR will establish the methods that permit professionals attending Patients to access theirPatients’ medical records. Only the professionals involved in the patient care process will have access to medical records. Access by management personnel will be limited to their functions. Personnel accessing medical records in the exercise of their functions are subject to the duty of secrecy.

The Patient has the right of access, with the provisos indicated in this section, to his or her medical records and to obtain a copy of the data contained therein. The Patient, after accrediting his/her identity, may request OMNIDOCTOR, by any registerable means, to provide him/her with a copy of the data contained in his/her medical records.

The Patient’s right of access to his or her medical records may also be granted by duly accredited representation.

The right to access the Patient’s medical records cannot be invoked to the detriment of third party rights pertaining to the confidentiality of the data contained therein in the therapeutic interest of the Patient, nor to the detriment of the rights of the professionals involved in their preparation, who may oppose the right of access by withholding their subjective observations.

OMNIDOCTOR shall only provide access to the medical records of deceased Patients to persons linked to them, via either family or legal connections, unless the deceased had expressly forbidden it and such information is documented. In any event, access by a third party to medical files on the grounds of a health risk shall be limited to relevant data. No information will be provided that could affect the privacy of the deceased,include subjective observations made by professionals, or may be prejudicial to third parties.

OMNIDOCTOR has established a system for the effective and diligent custody of medical records. This custody allows the collection, integration, recovery and communication of information, subject to the principle of confidentiality.

Governing Law.

This Legal and Privacy Notice is governed by Spanish law. In cases where legislation foresees the possibility of both parties submitting to a court of Law, both parties, renouncing any other privileges that may correspond to them, submit to the Courts and Tribunals of the city of Barcelona (Spain).

Purposes, legitimacy and storage of data sent via the:

REGISTRATION FORM

Purpose: To register you as a user, allow you access to the consultation services with the medical professionals on our website and inform you of our activities, products and services, as well as sending you commercial communications of our products, services including by electronic means, if you check the acceptance box.

Legitimation: The user’s consent when registering through our registration form and when checking the box accepting the sending of information.

Storage: Until the registered user asks to be removed and subsequently for the legally prescribed periods.

E-MAIL CORRESPONDENCE

Purpose: To respond to your requests for information, attend to your enquiries and answer your questions or concerns.

Legitimation: The user’s consent when requesting information via the e-mail address.

Storage: Until your request has been answered by e-mail, unless it has generated a new process..

SENDING A CURRICULUM VITAE BY E-MAIL OR BY MEANS OF THE APPLICATION FORM.

Purpose: To have your CV available in order to qualify for our professional selection processes.

Legitimation: The user’s consent when sending us his/her personal information and curriculum for our personnel selection procedures.

Storage: During the development of the open selection procedures and during 2 years for future selections.

The obligation to provide us with your personal data and the consequences of not doing so

The disclosure of personal data requires a minimum age of 14 years, or where applicable, sufficient legal capacity to enter into a contract.

The personal data requested are necessary to manage your requests and/or provide you with the services you may contract, which is why, if you do not provide them, we will not be able to respond correctly or provide the service you have requested.

Recipients of your data

Registered Users: Your data are confidential and will only be disclosed, barring any legal obligation, to the health professional with whom you have requested the consultation.

Candidates: No data transfer is envisaged.

Your rights in relation to your personal data

Any person can withdraw his or her consent at any time, once consent has been given for the processing of his or her data. In no circumstances does the withdrawal of this consent affect the terms of the subscription contract or any previously generated relationships.

You may also exercise your rights as follows:

  • Request access to your personal data or its rectification if inaccurate.
  • Request deletion of your personal data, if, among other reasons, they are no longer necessary for the purposes for which they were collected.
  • Request the restriction of their processing according to certain criteria.
  • Object to the processing of your data for reasons related to your individual situation.

GENERAL TERMS AND CONDITIONS OF BUSINESS

Introduction

The following text presents the general terms and conditions (hereinafter, the “Terms and Conditions”) that govern the contracting procedure where the contracting party is OMNIDOCTOR, located in Spain.

The consumer and user or Internet user is informed of these General Terms and Conditions, which have been made known to the user prior to the start of the contracting procedure. By clicking on the button “I have read and accept the Terms and Conditions. Order with obligation to pay”, he or she agrees to accept them fully and without reservation, in addition to any other conditions that may apply.

By means of these Terms and Conditions, the consumer and user or Internet user is informed that OMNIDOCTOR may, at any time and without prior notice, modify the content of these Terms and Conditions and any other conditions that may apply.

Formalities to enter into the contract: If you wish to contract our services, (i) you must first register; (ii) once registered you must select the type of specialty you require; (iii) complete the self-administered medical questionnaire; (iv) once you have completed the previous step you must read and accept the Terms and Conditions. Proceed to “confirm and pay” to access the screen where you can enter your bank details, and once you have finalized these steps, you will have completed the process; (v) once completed, you will be able to connect with the doctor for the contracted time; (vi) once the visit is over, the doctor will send you the diagnosis via the platform within approximately 30 minutes. (b) Storage and accessibility of the electronic document: we store the electronic document that formalizes the contract. You can access it and we will provide it to you if you send us an e-mail to the contact address specified in the clause entitled: “Identification of the parties”; (c) Identify and correct data entry errors: in the event that the User might submit data, our data collection procedure allows the errors to be checked and corrected at any time; (d) Language: the contract will be drawn up in Spanish.

The consumer and user or internet user is the purchaser of the service on the platform and must be over eighteen (18) years of age (hereinafter referred to as “the User” or “Patient”) and have full legal capacity to enter into binding contracts.

Purpose

The purpose of the Terms and Conditions is to determine the legal conditions applicable to the purchase and sales procedure between OMNIDOCTOR and the User, in order to enable the purchase of the medical, psychological or psychiatric service by which OMNIDOCTOR will provide the Patient with the services of diagnosis or preclusion of commonplace illnesses and, if applicable, medical opinion, prescription of treatment and/or drugs and/or health products, by telematic means, via videoconference (hereinafter referred to as “the Services”).

Characteristics and implementation of the service

The User may purchase the Service by means of OMNIDOCTOR’s e-commerce platform.

The user is required to register with the platform in order to be able to contract online.

OMNIDOCTOR offers a unique service provision format, which consists of making a medical, psychological or psychiatric video consultation for a pre-established price that is defined prior to contracting.

Furthermore, as regards the identification and authentication of the patient, Spanish legislation governing medical records requires prior identification of the patient in order to open and integrate the corresponding medical history to which the patient’s health information will be added.

For this reason, prior to the start of the service, during the first consultation, the professional attending the User will ask him/her to show their ID card during the video conference or send a photo of it using the options offered by the platform.

For second and subsequent consultations, it will only be necessary for the User to identify himself/herself with his/her user number and password, for this reason it is very important that these data are only known to the User.

Once the user has paid the price of the service, he/she can immediately connect with the Doctor, Psychiatrist or Psychologist so that, during the time contracted, he/she can make the visit. Once the visit is over, OMNIDOCTOR ensures that the doctor transmits the diagnosis of the visit to the patient within approximately 30 minutes, via the App.

Pharmaceutical prescription

OMNIDOCTOR professionals with the capacity to prescribe medicines and health products may issue the User with a medical prescription, at the discretion of the OMNIDOCTOR professional, permitting any pharmacy located in Spanish territory to dispense the medication and/or health product included therein. The prescription will be issued such that it can be delivered to the pharmacy of the Patient’s choice.

OMNIDOCTOR will send you a telematic preview of the prescription issued, the original of which will be sent directly to the postal address indicated by the user. The professional attending you will inform you about the entire process, as well as the estimated time of receipt of the original prescription.

Under no circumstances can OMNIDOCTOR professionals prescribe narcotic drugs (opioids).

In the event that the Patient is not satisfied with the diagnostic assessment and, where applicable, treatment prescribed by the doctor initially assigned by the OMNIDOCTOR platform, the Patient can contact the OMNIDOCTOR Customer Service Department, explaining the reasons for his/her dissatisfaction and requesting a new consultation. OMNIDOCTOR will process this new request in accordance with the company’s Customer Service protocols.

Price and service availability

The complete final price of services is shown, reflecting taxes and any other additional expenses that may apply.

We make every effort to provide you with accurate and complete service information. The information on services offered by OMNIDOCTOR published on the platform is kept as up to date as possible.

OMNIDOCTOR may modify the prices of the Services whenever it considers it appropriate. For this reason, the User, when accessing prices for OMNIDOCTOR Services, must ensure that they are the updated version and not a previous version that their terminal has saved in an internal memory. To this end, when accessing Service prices, the User must always click on the “Update” icon. Unless you do so, OMNIDOCTOR cannot be held responsible for any discrepancies in the price of the Services and will always apply the updated price.

Requesting the Service

When the service request and payment are made, a contract request is approved between the User and OMNIDOCTOR.

Once the payment has been made, you will be automatically connected to the selected doctor and will have a medical visit during the agreed time. If, once the time is up, you would like to extend the visit or have another one with another doctor, you will have to repeat the purchase process.

The request for the Service will be made binding by the User by clicking on the box “I have read and accept the Terms and Conditions. Payment obligation”. Within a maximum period of twenty-four (24) hours, OMNIDOCTOR will send the User details of the agreed contract by e-mail. If the User does not receive the e-mail, he/she can contact us by sending an e-mail to: info@omnidoctor.com.

Methods of Payment

We accept payment by credit or debit card (Visa, Visa Electron, Mastercard).

To make payments, OMNIDOCTOR offers users the virtual Caixa ATM terminal integrated in the platform. The user will be redirected through a connection to the bank, where he will have to enter his/her data to make the payment.

The User’s card details are transmitted in SSL encrypted form. For payment with Visa and Mastercard only SEC (Secure Electronic Commerce) transactions will be accepted. After verifying that the card is recognised by the SEC system, the system will contact the bank that issued it so that the buyer can authorize the purchase. Once the bank has confirmed authenticity, the card will be charged. Otherwise the order will be cancelled.

The credit or debit card may be rejected for the following reasons: the card may have expired, in which case we recommend Users check that their card does not exceed the expiry date; the card’s limit may have been reached, in which case check with your bank that the card has not exceeded the amount allowed for purchases; it may be that some of the data entered is incorrect, check that you have correctly filled in all the necessary fields.

Contract execution and duration.

Once you have completed the contract procedure and paid for the Service, you can immediately avail yourself of the purchased Service as per its features. The Service will last between 20 minutes and 50 minutes depending on the speciality.

The contract lasts foras long as the two (2) parties need to comply with their contractual obligations.

Procedure by which the consumer can terminate the contract

The User, at any time prior to the conclusion of the contract, may cancel it and once the contract has been concluded, must comply with the provisions detailed in the Withdrawal section of these Terms and Conditions (clause 13).

Guarantees

We understand that the Service provided will be done so in accordance with the description of its respective features and these Terms and Conditions. In the event of an incident, the User must contact OMNIDOCTOR.

Language in which the contract is formalized

The language to be used will be Spanish.

Right of withdrawal and cancellation policy

In accordance with the legal regulations in force, you have the right to withdraw from this contract within 14 calendar days without the need for justification.

Due to the characteristics of the service, which, in order to be functional, is provided immediately following conclusion of the contract, the User expressly consents to the provision of the service starting immediately after the contract is concluded, for which reason it will be provided and will end during the withdrawal period, i.e. within 14 days following the conclusion of the contract. Therefore, the User understands and expressly consents that he renounces his/her right to withdraw, given that the provision of the service begins and ends during this period.

Data Protection and Privacy

Introduction: with the information provided below, OMNIDOCTOR would like you to know which privacy policy applies to your personal data in these Terms and Conditions.

Compliance with data protection regulations: OMNIDOCTOR complies with all the requirements established by current legislation on personal data protection, and all data under our responsibility is processed in accordance with legal requirements.

Security measures: the required technical and organizational security measures will be taken in order to guarantee data confidentiality.

Veracity of information and data: the information and data you provide us with is deemed to be real and truthful.

Purposes: we hereby inform you, and you (the User) gives your express consent, that the personal data you provide us with and those generated from your interaction with us, will be included in an OMNIDOCTOR file or files, and may be processed for the following purposes:

General management: maintenance, compliance, development, control, management of services provided and your contact with us.

Contracting procedure: in the contracting procedure, credit card data will be requested, among others, and will be sent to the entity managing the payment. This request shall be made with the main purpose of validating the card and paying for the provision of services, and responds to the free and legitimate acceptation of the legal relationship between the User and OMNIDOCTOR, where development, compliance and control automatically implies data processing with third party databases, which is legitimate in order to achieve the specified purposes.

Carrying out a medical, psychological and psychiatric consultation: the User will be asked to provide certain health data, such as a brief explanation of his/her illness, the medication he/she is taking, or if he/she suffers from any disease, so that the doctor can access said data and carry out the patient’s diagnosis as well as provide him/her with appropriate assistance.

Your data may be processed and/or communicated to third parties in order to comply with existing legal and/or contractual obligations.

Third party data: if you provide us with the personal data of a third party, you are guaranteeing that you have been duly informed about the points set out below and and that you have been asked to give your consent in regard to the same:

Hyperlinks: on our website there are no hyperlinks that allow the communication of your data to other websites.

Medical History

Patients’ data will also be included in their Medical History, in accordance with article 14 of Law 41/2002, of 14 November, which is the basic law regulating patient autonomy and rights and obligations in the area of clinical information and documentation. The Medical History includes all the documents related to the care processes of each patient, with the identification of the doctors and other professionals who have intervened therein, in order to obtain the maximum possible integration of each patient’s medical files, at least within the scope of each centre.

In compliance with the aforementioned law, OMNIDOCTOR shall file its Patients’ medical records, irrespective of the paper, audio-visual, computerized or other medium upon which they are recorded, in such a way as to guarantee their security, correct conservation and the recovery of the information.

The medical history will incorporate all information considered to be fundamental for an accurate and up-to-date account of the patient’s state of health. Every Patient or User has the right to have recorded, in writing or by means of the most appropriate technical support, the information obtained in all the care processes carried out by the health service, both in primary care and specialized care areas. The primary purpose of keeping medical records is to facilitate health care, documenting all the information that, under medical criteria, allows for a reliable and up-to-date account of the state of health.

The medical history is an instrument designed primarily to ensure adequate care for the patient. The care professionals at the centre who carry out the diagnosis or treatment of the patient have access to the patient’s medical records as a fundamental resource for ensuring adequate healthcare. OMNIDOCTOR will establish the methods that permit professionals attending Patients to access their Patients’ medical records. Only the professionals involved in the patient care process will have access to medical records. Access by management personnel will be limited to their functions. Personnel accessing medical records in the exercise of their functions are subject to the duty of secrecy.

The Patient has the right of access, with the provisos indicated in this section, to his or her medical records and to obtain a copy of the data contained therein. The Patient, after accrediting his/her identity, may request OMNIDOCTOR, by any registerable means, to provide him/her with a copy of the data contained in his/her medical records.

The Patient’s right of access to his or her medical records may also be granted by duly accredited representation.

The right to access the Patient’s medical records cannot be invoked to the detriment of third party rights pertaining to the confidentiality of the data contained therein in the therapeutic interest of the Patient, nor to the detriment of the rights of the professionals involved in their preparation, who may oppose the right of access by withholding their subjective observations.

OMNIDOCTOR shall only provide access to the medical records of deceased Patients to persons linked to them, via either family or legal connections, unless the deceased had expressly forbidden it and such information is documented. In any event, access by a third party to medical files on the grounds of a health risk shall be limited to relevant data. No information will be provided that could affect the privacy of the deceased, include subjective observations made by professionals, or may be prejudicial to third parties.

OMNIDOCTOR has established a system for the effective and diligent custody of medical records. This custody allows the collection, integration, recovery and communication of information, subject to the principle of confidentiality.

Disclaimer of liability

OMNIDOCTOR will not be held responsible for any incorrect use of the platform and the online purchase procedure by Internet users.

OMNIDOCTOR also declines any responsibility for possible damages caused by third parties that are not attributable to OMNIDOCTOR.

OMNIDOCTOR shall not be liable in the event of interruptions to the Services, delays, errors, malfunctions and, in general, other inconveniences originating from causes beyond OMNIDOCTOR’s control, and/or due to the user’s malicious or culpable action and/or originating from causes due to force majeure or unforeseen circumstances.

With regard to links or hyperlinks not related to OMNIDOCTOR, any connection will serve exclusively for the purposes of providing information. These links are not under OMNIDOCTOR’s control, and therefore OMNIDOCTOR will not be held responsible for the information they contain.

The tele-health service offered by OMNIDOCTOR through this platform is not intended to replace the care that users should receive from their primary care physician or to be a permanent medical service at home. The assistance offered is aimed at solving minor problems that would otherwise be solved by telephone or other telematic means from a primary care centre or an emergency coordination centre.

This service IS NOT AIMED AT RESOLVING AN EMERGENCY SITUATION; if the user finds him or herself in this position, it is advisable to contact the relevant health services via an emergency telephone number (for example 112).

OMNIDOCTOR shall not be liable for medical advice, treatment prescriptions and, where applicable, medication, cures and medical devices provided by its professionals who have not been able to take into account data, circumstances, diagnostic tests and histories which, despite being known to the Patient, have not been brought to the attention of the relevant OMNIDOCTOR professional providing assistance.

Likewise, OMNIDOCTOR shall not be liable for referrals to on-site clinics of Patients who, due to symptoms, background or specific circumstances, at the discretion of the professional who is treating them, are referred to such on-site clinics. Neither shall OMNIDOCTOR be held responsible for the patient’s disregard of such a referral.

By accepting the present Terms and Conditions, the User is hereby informed that through our services an improvement in the state of health is expected, but that this is neither guaranteed nor assured. It is therefore advisable to contact our service, or another health service provider should clinical evolution not be as expected.

Contract validity

Should any of the clauses of these Terms and Conditions be considered null and void or inapplicable, this would not affect the rest of the clauses, which would remain in full force and effect.

Applicable law and jurisdiction

If legislation allows for the parties to choose the applicable law, both parties, with express waiver of any other laws that may correspond to them, shall be governed by the rules of the Spanish legal system. In cases where legislation foresees the possibility of both parties submitting to a Court, both parties, with express waiver of any other jurisdiction that may correspond to them, submit to the Courts and Tribunals of the city of Barcelona (Spain).
